Clerky is an online service that lets startup founders complete standard corporate legal paperwork themselves. It handles Delaware C corporation and public benefit corporation incorporation, post-incorporation setup such as founder stock, vesting, bylaws and 83(b) election support, foreign qualification and stock plan adoption. After formation, a legal dashboard covers fundraising with SAFEs and convertible notes, hiring of employees, consultants and advisors, equity compensation, commercial agreements and ongoing corporate maintenance like board consents. Co-founders and outside attorneys can collaborate on documents, and attorneys get free accounts to review client paperwork. The service was built by former startup lawyers for venture-scale companies and is owned by Stripe.
